Terms of Service for BFTools services.

These Terms of Service (the “Terms”) form a legally binding agreement between you and CLOUND NEXUS ECOM SERVICE CO., LIMITED (“BFTools,” “we,” “us,” or “our”) and govern your access to, download, installation, registration, purchase, and use of the BFTools website, account system, desktop applications, subscription services, and any other tools, software, updates, and related services BFTools may provide in the future (collectively, the “Services”).

Please read these Terms before using the Services. By clicking “Agree,” registering an account, making a purchase, downloading, installing, or using a Service, you confirm that you have read and agree to these Terms. Where applicable law does not permit valid acceptance solely through use, we will request an affirmative acceptance action. If you do not agree, do not access, install, or use the Services.

If you use a Service for a company, organization, or other entity, you represent and warrant that you have authority to bind that entity. In that case, “you” means both the entity and the individual acting for it.

1. Contract Documents and Order of Precedence

These Terms include the BFTools Privacy Policy, plan rules shown at purchase, order confirmations, product-specific terms, and rules clearly identified within a Service as contractual terms, each incorporated by reference.

If documents conflict, the following order applies unless mandatory law requires otherwise: a signed enterprise agreement or order form; product-specific terms; specific commercial terms in an order confirmation or purchase page; these Terms; and general help documentation.

The Privacy Policy explains personal-data handling and does not replace these Terms. Open-source software, third-party components, and app stores may be governed by separate licenses or terms.

2. Eligibility and Minors

You must have reached the age of legal majority in your jurisdiction and have full capacity to contract to register, purchase, or use the Services independently. A person below the age of majority may use a legally available Service only with the consent and supervision of a parent or legal guardian.

The Services are not directed to children. You may not register or use a Service if you lack authority to bind the relevant entity, are prohibited under applicable sanctions or export controls, or previously had an account terminated for a material violation of these Terms.

3. Account Registration and Security

You must provide true, accurate, complete, and current registration information and keep it updated. You may not use an email address you have no right to use, impersonate another person, create a misleading identity, or register accounts in bulk or through automation.

You are responsible for protecting your password, authentication credentials, and devices and for activity conducted through your account following reasonable authentication. An account may be used only by authorized users and may not be sold, rented, loaned, transferred, shared, or otherwise made available to an unauthorized third party, except for team seats expressly permitted by the applicable plan.

Notify us immediately through Section 27 if you discover account compromise, credential disclosure, or unauthorized activity. We may request verification, require credential resets, suspend suspicious activity, or take other reasonable security measures. To the extent permitted by law, you are responsible for loss caused by failure to safeguard your credentials or devices.

4. Services and Product-Specific Terms

BFTools is a platform comprising multiple desktop applications and related services. Features, device counts, seats, technical requirements, and availability may vary by tool, plan, operating system, version, and region, as stated on the purchase page, order confirmation, or product-specific terms.

We may offer free, trial, subscription, perpetual-license, usage-based, or enterprise versions. Unless an order expressly states otherwise, acquiring one tool or plan does not grant rights to other tools, future products, paid upgrades, expansion packs, or enterprise functionality.

Help materials, roadmaps, demonstrations, test features, and statements about future products are informational and do not commit BFTools to deliver a feature by a particular date unless an order or signed agreement expressly says otherwise.

5. Software License

Subject to your compliance with these Terms and payment of applicable fees, BFTools grants you, during the applicable license or subscription term, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • install and run the applicable tool in object-code form;
  • use it within the users, seats, devices, operating systems, and use cases permitted by your plan;
  • use the Service for personal purposes or your own lawful internal business purposes; and
  • make a reasonable number of backup copies solely for recovery, unless technical protection measures or distribution-channel rules lawfully provide otherwise.

The Services are licensed, not sold. BFTools and its licensors retain all rights in the Services and related technology, designs, marks, and content except for the rights expressly granted here.

6. License Restrictions and Prohibited Conduct

Unless mandatory law expressly permits an activity and does not allow contractual restriction, you may not, and may not assist another person to:

  • copy, modify, translate, adapt, derive from, combine, distribute, publicly display, sell, rent, lend, sublicense, or commercialize a Service;
  • reverse engineer, decompile, disassemble, crack, decrypt, or attempt to discover source code, models, algorithms, or non-public interfaces;
  • bypass, disable, damage, or evade license checks, subscription verification, device or seat limits, access controls, security measures, or technological protections;
  • use scripts, false identities, virtual devices, account rotation, or other methods to repeat or abuse trials, promotions, or refunds;
  • remove, obscure, or alter copyright, trademark, license, attribution, or proprietary notices;
  • use bots, crawlers, automated requests, or other means to impose unreasonable load, probe vulnerabilities, interfere with operation, or gain unauthorized access;
  • introduce or distribute viruses, malware, ransomware, or destructive code;
  • use a Service to infringe intellectual-property, privacy, data-protection, trade-secret, contractual, or other legal rights;
  • use a Service for fraud, harassment, intrusion, sanctions evasion, unlawful surveillance, or other unlawful activity;
  • use a Service in nuclear facilities, aviation control, life support, emergency response, weapons systems, or another high-risk environment for which it was not specifically designed and where failure could cause death, personal injury, or material damage;
  • make misleading claims about Service performance or use BFTools marks in a way that implies sponsorship, certification, or partnership; or
  • provide hosting, service-bureau, resale, shared-account, or similar services for third parties without BFTools’ written authorization.

If mandatory law permits a particular act for interoperability, security research, or another purpose, you must act only to the minimum extent permitted and, where lawful, first request the necessary information from us in writing.

7. Local Files, User Content, and Outputs

Unless a feature or product-specific term expressly says otherwise, files, text, configurations, projects, and outputs processed by desktop tools remain on your device and are not uploaded to BFTools servers. You retain your rights in content that you lawfully own.

You represent that you have the right to use and process your inputs through the Services and that doing so does not violate law or third-party rights. BFTools is not responsible for reviewing the legality, accuracy, or completeness of content you process locally.

You are responsible for backing up important files before and after using a Service, validating outputs, and maintaining a safe recovery plan. Outputs can be affected by inputs, configurations, third-party formats, operating systems, and other environmental factors and should not be used for decisions that may cause material harm without independent verification.

If a future Service permits content uploads, the feature will be governed by product-specific terms and privacy disclosures. We will not acquire ownership of your content solely because of an upload, other than a limited license necessary to provide that feature.

8. Feedback

If you voluntarily provide suggestions, ideas, improvements, or other feedback, you grant BFTools a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable right to use, copy, modify, commercialize, and otherwise exploit that feedback without payment or attribution.

This section does not grant BFTools rights to unrelated personal data, your software code, or confidential information that you clearly mark and that we separately agree in writing to receive as confidential.

9. Seven-Day Free Trial

Unless the purchase page or product-specific terms state otherwise, each eligible new account may receive one continuous seven-day free trial beginning when the system confirms activation. Eligibility, features, duration, and covered tools may be limited by region, channel, account, device, or prior usage history.

A trial has no cash value, is non-transferable, may not be repeated, and cannot be combined with an incompatible offer. BFTools may deny, suspend, or revoke trial access obtained through fraud, automation, duplicate accounts, technical circumvention, or other abuse.

Whether a trial converts to a paid subscription will be stated clearly at registration or checkout. We or the payment provider will charge after the trial only if the price, billing cycle, trial end, and cancellation method were clearly presented and you expressly agreed to automatic renewal.

10. Subscriptions and Automatic Renewal

Subscriptions are billed in advance on the monthly, annual, or other cycle shown at checkout. Unless you cancel before the next billing date, a subscription automatically renews at the end of each billing cycle, and the payment method you provided to the payment provider will be charged the then-applicable fee and taxes.

By purchasing a subscription, you expressly authorize the designated payment provider to make recurring charges on the disclosed cycle until you cancel or the subscription ends. BFTools does not retain full payment-card numbers, bank credentials, payment passwords, or CVV/CVC values; the payment provider or app store handles that data.

We will send trial-end, renewal, long-term-contract, and price-change reminders required by applicable law. Failure of a reminder to reach you does not revoke otherwise valid renewal authorization, but any statutory right resulting from BFTools’ failure to give a mandatory notice remains unaffected. You are responsible for maintaining a valid account email and reviewing Service notices.

11. Pricing, Taxes, and Price Changes

The price, currency, billing cycle, included features, and applicable taxes are shown at checkout. Unless expressly stated as tax-inclusive, displayed prices may exclude taxes, levies, or similar government charges that must be collected.

We may change prices or plans for future billing cycles. For an existing renewing subscription, we will give reasonable advance notice as required by law before a new price applies. A price change does not retroactively affect a paid period. If you disagree, cancel before the new price takes effect.

Exchange-rate, bank, processor, app-store, tax-rule, and payment-method charges are determined by the relevant third party and, unless law provides otherwise, are not BFTools’ responsibility.

12. Payment, Authorization, and Failed Charges

You must ensure payment information supplied to a payment provider is valid and that you are authorized to use the payment method. Payment providers and app stores may apply their own terms, verification, risk, refund, and dispute procedures.

If a payment fails, is declined, reversed, or charged back, we may retry collection, require a payment-method update, suspend paid features, shorten a grace period, or terminate the subscription. You remain responsible for undisputed amounts lawfully incurred before suspension or termination.

An unjustified chargeback, fraudulent refund claim, or payment circumvention does not discharge contractual obligations. We may provide payment providers with order, license-use, and communication records to defend a dispute and take reasonable steps to prevent further loss.

13. Cancellation

You may cancel automatic renewal at any time through account settings, the subscription-management feature of the original purchase channel, or another simple method we publish. A subscription purchased through an app store generally must be canceled through that app store.

Unless applicable law, checkout disclosures, or product-specific terms provide otherwise, cancellation takes effect at the end of the current paid billing period. You may continue using paid entitlements until then, and you will not be charged for the next period. Uninstalling an application, ceasing use, or removing a local device does not cancel a subscription.

Allow reasonable processing time before renewal. If a cancellation mechanism malfunctions, contact us promptly under Section 27 and retain evidence of your cancellation attempt.

14. Refunds and Statutory Withdrawal Rights

The Services include a seven-day trial for evaluation. Except as stated in this section or required by mandatory law, completed subscription, license, and renewal payments are generally non-refundable. Non-use, partial use, forgetting to cancel, or uninstalling an application does not by itself create a right to a refund.

The foregoing does not limit:

  • a mandatory cooling-off period, withdrawal right, statutory guarantee, non-conformity remedy, or other non-waivable consumer remedy;
  • a verified duplicate charge, unauthorized charge, or BFTools’ failure to deliver a purchased entitlement;
  • a refund expressly promised by the purchase page, order, promotion, or product-specific terms; or
  • a refund BFTools approves in its discretion based on the circumstances, which does not establish a precedent for other users or future requests.

If you ask for digital content or a digital service to begin during a statutory withdrawal period, we may lawfully request your express consent to immediate performance and acknowledgment that the withdrawal right may be lost once supply begins or performance is complete. Where law permits only a deduction for performance already supplied, we may deduct the corresponding reasonable amount from a refund.

Refunds are ordinarily returned to the original payment method and remain subject to provider or app-store processing times and rules. Unless required by law, bank fees, exchange-rate differences, taxes, and third-party charges may not be refundable.

15. Updates, Changes, and Discontinuation

We may release fixes, security updates, feature updates, and new versions. Some updates may be required for security, compatibility, or license verification. You must maintain a supported operating system and a reasonably current software version.

We may modify, replace, restrict, or discontinue free features, test features, old versions, or Services that are no longer commercially viable. If a paid core Service is materially and adversely changed or discontinued, we will provide advance notice where reasonably practicable and legally required and offer continued access through the period, migration, a pro-rated refund, or another remedy required by law.

We have no obligation to support a particular version, platform, file format, compatibility, or feature indefinitely unless an order or signed agreement expressly provides otherwise.

16. Beta and Free Services

Services identified as Alpha, Beta, Preview, Early Access, Experimental, free, or evaluation versions may be incomplete, unstable, subject to change, and contain errors. Except where mandatory law provides otherwise, they carry no commitment concerning availability, support, data retention, or continued provision and may be suspended or ended at any time.

Do not use a beta or evaluation Service for production-critical, high-risk, or unrecoverable work, and maintain your own backups.

17. Intellectual Property

The Services and their source and object code, interfaces, workflows, database structures, documentation, graphics, trademarks, names, logos, audiovisual content, and other materials are owned by BFTools or its licensors and protected by intellectual-property and other laws.

“BFTools” and related marks are BFTools trademarks or brand identifiers. Without written permission, you may not use them to suggest sponsorship, endorsement, or affiliation or register a confusingly similar mark, domain, account name, or application name.

These Terms transfer no ownership and grant no implied license.

18. Third-Party Components, Services, and App Stores

The Services may include open-source or third-party components whose licenses are provided with the software or documentation. If such a license conflicts with these Terms for that component, the legally applicable third-party license controls.

Third-party payments, app stores, operating systems, file formats, websites, plug-ins, and integrations are not fully controlled by BFTools. BFTools does not warrant their continued availability, content, security, charges, or independent conduct.

If you obtain a Service through an app store, you must also comply with that store’s terms. As between the parties, BFTools, not the app store, provides the Service and license, but an app store may enforce applicable terms as a third-party beneficiary where its terms expressly provide.

19. Privacy

We process personal data as described in the BFTools Privacy Policy. Unless a tool expressly states otherwise, BFTools stores only account and order information on its servers, complete payment credentials are processed by third-party payment providers, and files and outputs processed by desktop tools remain local.

Review the Privacy Policy and any product-specific privacy notice. These Terms do not authorize you to collect or process another person’s personal data unlawfully through a Service.

20. Compliance, Export Controls, and Sanctions

You must comply with laws applicable to the Services and your use, including intellectual-property, privacy, data-protection, export-control, economic-sanctions, and anti-corruption laws.

You represent that you are not located in a territory where provision is comprehensively prohibited, are not identified on an applicable sanctions list, and are not controlled by a listed party. You may not directly or indirectly export, re-export, transfer, or use a Service for a prohibited end use or end user.

We may suspend or terminate access to the extent permitted by law if continuing to provide a Service would cause BFTools to violate law, become subject to sanctions, or bear unreasonable compliance risk.

21. Availability and Support

We aim to maintain the Services but do not guarantee uninterrupted, error-free, vulnerability-free operation, compatibility with every device, or satisfaction of every particular requirement. Maintenance, security incidents, network or power outages, third-party failures, regulatory requirements, and force majeure may cause interruptions.

No service-level agreement, guaranteed response time, or dedicated support applies unless stated in an order or enterprise agreement. Support guidance does not guarantee a particular result.

22. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BFTools AND ITS LICENSORS DISCLAIM EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, NON-INFRINGEMENT, COMPATIBILITY, CONTINUOUS AVAILABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING.

BFTools DOES NOT WARRANT THAT THE SERVICES OR OUTPUTS WILL BE COMPLETELY ACCURATE, COMPLETE, ERROR-FREE, SECURE, UNINTERRUPTED, OR ABLE TO PREVENT ALL DATA LOSS. YOU MUST DETERMINE WHETHER A SERVICE IS SUITABLE FOR YOUR USE AND INDEPENDENTLY VERIFY IMPORTANT OUTPUTS.

This section does not limit statutory warranties, digital-content quality standards, or consumer remedies that cannot lawfully be excluded.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BFTools, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL LOSS, OR FOR LOSS OF PROFIT, REVENUE, GOODWILL, OPPORTUNITY, BUSINESS, ANTICIPATED SAVINGS, DATA, OR USE, UNDER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF BFTools ARISING OUT OF OR RELATING TO A SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID FOR THE RELEVANT SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. IF THE RELEVANT SERVICE WAS ENTIRELY FREE, AGGREGATE LIABILITY WILL NOT EXCEED SGD 100.

The exclusions and caps do not apply where limitation is prohibited, including liability for death or personal injury caused by BFTools’ negligence, fraud or fraudulent misrepresentation, willful misconduct, gross negligence where it cannot be limited, and non-waivable consumer rights. If an exclusion or cap is unenforceable, it will be adjusted only to the minimum extent necessary to make it enforceable.

You and BFTools agree that this section reflects the allocation of risk and fees and applies even if a limited remedy fails of its essential purpose, except where mandatory law provides otherwise.

24. Indemnification

To the extent permitted by law, if you use a Service for business or professional purposes, or if your unlawful use, willful misconduct, violation of Section 6, infringement of third-party rights, or content you had no right to process causes a third-party claim against BFTools or its affiliates, officers, employees, or agents, you will indemnify them for reasonable resulting losses, liabilities, judgments, settlements, and costs, including reasonable legal fees.

BFTools will notify you when reasonably practicable and allow you to participate in the defense. You may not settle in a way that admits BFTools’ liability, requires BFTools to pay, or imposes a non-monetary obligation without our written consent. This section does not require a consumer to indemnify BFTools for BFTools’ own negligence, breach, or liability that law prohibits shifting.

25. Suspension and Termination

You may stop using the Services, cancel a subscription, and request account closure as provided by law. Termination or closure does not automatically create a refund or relieve obligations incurred beforehand.

We may immediately restrict, suspend, or terminate an account, license, or Service if you materially or repeatedly breach these Terms, fail to pay an amount due, endanger the Services or another person, engage in suspected fraud or unlawful conduct, or if law requires action. For an ordinary breach that can reasonably be cured, we may choose to provide a cure period first.

Upon termination, your license ends immediately, and you must cease use and delete software copies covered by the terminated license unless law requires retention. Provisions that by their nature should survive do survive, including intellectual property, amounts due, feedback, disclaimers, liability limitations, indemnification, dispute resolution, and general terms.

26. Governing Law and Disputes

Without affecting mandatory consumer-protection law, these Terms are governed by Singapore law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a dispute, you should send written notice under Section 27 describing the account, facts, and requested resolution. The parties will attempt in good faith to resolve the matter for thirty days after receipt. This process does not prevent either party from seeking urgent injunctive relief, protecting intellectual property, or acting before a limitation period expires.

If the dispute is not resolved, the parties submit to the exclusive jurisdiction of the competent courts of Singapore, except where mandatory law permits a consumer to sue in the courts of the consumer’s residence or complain to a regulator or consumer body.

Nothing in these Terms excludes a non-waivable consumer complaint, mediation, small-claims, or other remedy available under applicable law.

Legal notices to us must use the address above and clearly state “Legal Notice.” We may notify you through your account email, an in-application notice, a website notice, or the Service interface. You are responsible for keeping your email current.

28. Changes to These Terms

We may update these Terms for changes to the Services, business, technology, security, or law. We will give advance notice of material changes through account email, an in-application notice, or another prominent method and identify the effective date. We will obtain affirmative renewed acceptance when law requires it.

Changes generally do not apply retroactively. If you disagree with a material change, you may cancel the affected Service before it takes effect. Continued use after effectiveness constitutes acceptance only where applicable law permits.

29. General Terms

  • Entire agreement: These Terms and the documents identified in Section 1 form the entire agreement concerning the Services and supersede prior oral or written understandings on that subject.
  • Severability: If a provision is invalid or unenforceable, it will be adjusted to the minimum extent permitted, and the remainder stays effective.
  • No waiver: A failure to enforce a provision is not a waiver, and a single waiver is not continuing.
  • Assignment: You may not assign these Terms or an account without BFTools’ written consent. BFTools may assign them in a merger, reorganization, asset sale, or business transfer with notice as required by law.
  • Independent relationship: These Terms create no partnership, joint venture, employment, agency, fiduciary, or franchise relationship.
  • Force majeure: To the extent permitted by law, a party is not liable for delay or nonperformance caused by events beyond reasonable control, except for payment obligations already due.
  • Third-party rights: Except for app stores, affiliates, licensors, and protected parties expressly identified here, a non-party has no right to enforce these Terms.
  • Headings: Headings are for convenience and do not affect interpretation.

30. Consumer Rights and Language

If you use a Service as a consumer, these Terms do not exclude, limit, or waive any non-excludable right, statutory warranty, refund right, withdrawal right, or court jurisdiction under the law of your residence. A provision conflicting with mandatory consumer law is inapplicable only to the extent of the conflict, and the remainder continues in effect.

These Terms may be provided in multiple languages, each intended to have the same meaning. If interpretations differ, the English version controls to the extent permitted by applicable law. If local law requires the local-language version to control, that law applies.
